Top of Minds Executive Search for Kramp

The organisation

Kramp Groep is the largest agricultural wholesaler in Europe. With over 500,000 different spare parts and accessories, the company is such a reliable supplier for its customers, they directly enhance their efficiency and profitability. Kramp is known for its exceptional service, next-day delivery on thousands of items, and excellent value for money, which is why they are the ultimate one-stop shop for every agricultural dealer.

Kramp is also much more than a parts supplier. The wholesaler consistently improves its services to make them as efficient and straightforward as possible. By focusing on digitization, e-commerce, and innovation, Kramp continues to earn a leading role in the market, and stay ahead of others in its industry.

“ Kramp still feels like the start-up we were over seventy years ago. We have the spirit of a family business and the international success of a large multinational.” -Eddie Perdok, CEO

And year after year, Kramp continues to achieve strong growth. The company currently has eleven distribution centers, twenty-four sales offices, more than 3,500 employees, and over one billion euros in revenue. As a leading player in its niche market, and supported by investor NPM Capital, Kramp is perfectly positioned to continue its significant growth model. Strategic acquisitions are a key part of its expansion strategy. Through M&A, the wholesaler wants to expand its footprint into eastern and southern Europe and develop into adjacent markets, such as construction and landscaping.

The position

Kramp is Europe’s number one agricultural wholesaler and is still growing fast. That’s why targeted acquisitions are a key part of their ongoing strategy. The M&A Manager will lead the entire M&A process: from target identification to post-merger integration. This role can make a great impact and has strategic exposure to senior management.

Tasks & responsibilities

The M&A Manager will be responsible for all of Kramp’s M&A activities and play a pivotal role to successfully realize the company’s inorganic growth strategy. They will be the lead throughout the entire M&A process: from identifying and evaluating potential targets to the actual transaction and post-merger integration. The M&A Manager will independently work on deals, supported by and reporting to the Corporate Development Director. They will enjoy the freedom to alternate their work location between Kramp’s headquarters in Varsseveld, the Kramp Hub in Utrecht and remote working.

“ We strive to do two to three M&A deals per year of up to thirty million each. But it all depends on the opportunities we see in the market. We have the funds to respond fast and do larger deals if the moment is right.” – Franc Verhage, Corporate Development Director

To identify and evaluate potential targets, the M&A Manager will monitor markets and analyze candidates on strategic fit, valuation, and financial and commercial track record, for example. In the identification phase, they will work closely with the Commercial Directors of Kramp’s country organizations, who know their local markets and can initiate first contact. Once a potential target shows promise, the M&A Manager will lead the pre-merger planning, which includes preparing documentation, meeting with the target company’s leadership team and creating the business case.

The M&A Manager will also oversee the actual transaction process. They will develop proposals, lead negotiations, conduct due diligence, manage all internal and external parties involved like lawyers, accountants, and external financial consultants, and prepare deal-closing by Kramp’s CEO and CFO. Once a deal is successful, the M&A Manager will spearhead the post-merger integration on dimensions such as strategy, structure, people, and culture, working together with an experienced team.

The M&A Manager will work closely with, among others, Commercial Directors in other countries, the Corporate Development Director and the Corporate Strategy Team. They will also update and facilitate decision-making of the Executive Board. Overall, the M&A Manager at Kramp will be a challenging and exciting position with a great deal of exposure and potential to impact the company’s continued growth strategy.
